These terms govern your use of kingsgatesolutions.com and any property or opportunity you submit through it. By using this website you agree to them. If you do not agree, please do not use the site.

1. Who we are

Kingsgate Solutions LLC ("Kingsgate," "we," "our," or "us") is a limited liability company organized under the laws of the State of North Carolina, operating as a real estate investment company that acquires residential property, land and light commercial property for its own account.

2. No brokerage relationship and no agency

Kingsgate is not a licensed real estate brokerage and does not act as a real estate agent or broker for you or for anyone else. We do not list property, we do not market property on behalf of an owner, and we do not represent buyers or sellers in a fiduciary capacity.

Using this website, submitting a property, or communicating with us does not create an agency relationship, a fiduciary duty, a brokerage relationship, an attorney-client relationship or a partnership between you and Kingsgate.

When we purchase property we do so as a principal, buying for our own account and our own benefit. Our interests as a buyer are not the same as your interests as a seller. You are entitled to, and we encourage you to, obtain independent advice from a licensed real estate attorney, a licensed real estate broker, or a tax professional before signing anything.

3. Nothing here is an offer

All content on this website is general information about what we do. It is not an offer to purchase any property, not a commitment to purchase, not a valuation, not an appraisal, and not a guarantee of any price, term or outcome.

Any purchase by Kingsgate is contingent on our own evaluation and becomes binding only through a written purchase agreement signed by both parties. Until that document is signed, either party may decline to proceed for any reason or no reason.

4. Property submissions

When you submit a property you agree that:

• The information you provide is accurate to the best of your knowledge.
• You are the owner of the property, an authorized representative of the owner, or a party with a legitimate interest in it such as an heir, executor, administrator or contract holder.
• You are not submitting a property with intent to mislead us or any third party.
• We may evaluate the property, including reviewing public records, running comparable sales analysis and inspecting the property with your permission.
• We may contact you about the submission as described in our Privacy Policy.
• We may decline any property for any lawful reason, and we are under no obligation to explain the reason.
• Where we do buy, what happens next depends on the property. We may renovate and resell it, hold it, improve or develop land, bring in a joint venture partner, or assign our contract to another buyer. Any assignment is disclosed in the purchase agreement.

Submitting a property is free and creates no obligation on you to sell.

5. Joint venture and partner submissions

We review joint venture opportunities submitted by wholesalers, agents, investors and other real estate professionals. The following applies to every such submission.

• No partnership is created by submission. Sending us an opportunity does not create a joint venture, partnership, agency, employment relationship or any other legal relationship. It is an inquiry.
• No acceptance is promised. We evaluate every opportunity on its own merits and most will not be a fit. We are under no obligation to accept, respond within any time frame, or explain a decision.
• Terms exist only in writing. Any joint venture, fee, assignment, split or other compensation arrangement is governed exclusively by a separate written agreement signed by both parties. Nothing on this website and no conversation, email or text creates such an agreement.
• You represent that you have the right to submit it. You confirm you hold a valid contract, a direct relationship with the owner, or another legitimate position in the property, and that submitting it to us does not breach any agreement you have with anyone else.
• Compliance is your responsibility. You are responsible for ensuring your own activity complies with North Carolina real estate licensing law and all other applicable law, including any restriction on advertising or marketing property you do not own.
• Non-circumvention. Where we proceed with an opportunity you brought us, we will not intentionally circumvent you on that specific transaction. This commitment is limited to the specific property submitted and does not restrict us from working with any party or in any market generally, including where we already had an independent relationship or knowledge of the property.

6. Accuracy and independent verification

We work to keep this website accurate but we do not warrant that all content is complete, current or error free. Property criteria, markets and processes described here may change without notice.

You are responsible for the accuracy of information you give us. Material misstatements about a property, its condition, its occupancy or its title may cause us to withdraw from a transaction.

7. Not legal, tax or financial advice

Nothing on this website or in any communication from us is legal advice, tax advice, financial advice, investment advice or an appraisal. We are not attorneys, accountants, appraisers or licensed brokers. Real estate transactions carry legal and tax consequences that depend on your own circumstances, particularly in probate, estate, foreclosure, divorce and tenant-occupied situations. Consult qualified professionals about your own situation before acting.

8. Communications and consent

By emailing us you consent to be contacted by Kingsgate at the contact details you provide, regarding your inquiry. If you give us a phone number, that includes reply by phone call and text message. Message frequency varies. Message and data rates may apply. Reply STOP to opt out of text messages and HELP for assistance. Full detail is in our Privacy Policy. Consent to marketing communication is not a condition of any purchase.

9. Acceptable use

You agree not to use this website to submit false or fraudulent information, to submit property you have no right to submit, to attempt to gain unauthorized access to our systems, to scrape or harvest data by automated means, to transmit malicious code, or to use the site in violation of any applicable law.

10. Intellectual property

The content, layout, design, text, graphics and code on this website are owned by Kingsgate Solutions LLC or used with permission, and are protected by copyright and other laws. You may view and print pages for your personal, non-commercial use. You may not reproduce, republish or redistribute the content for commercial purposes without written permission. "Kingsgate Solutions" and the Kingsgate wordmark are our marks.

11. Third-party links and services

This site may link to websites and services we do not control. We are not responsible for their content, availability or practices, and your use of them is governed by their own terms. This site itself loads no third-party scripts, fonts or trackers.

12. Disclaimer of warranties

This website is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Kingsgate disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the site will be uninterrupted, secure or error free.

13. Limitation of liability

To the fullest extent permitted by law, Kingsgate Solutions LLC and its members, managers, employees and agents will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost data or business interruption, arising out of or related to your use of this website, whether based in contract, tort, strict liability or otherwise, even if advised of the possibility of such damages.

Our total aggregate liability arising out of or relating to this website and these terms will not exceed one hundred United States dollars (USD $100.00). Nothing in these terms limits liability that cannot be limited under applicable law.

14. Indemnification

You agree to indemnify and hold harmless Kingsgate Solutions LLC and its members, managers, employees and agents from any claim, loss, liability, damage, cost or expense, including reasonable attorney fees, arising from your use of this website, your breach of these terms, your submission of inaccurate or unauthorized information, or your violation of any law or the rights of a third party.

15. Governing law and disputes

These terms are governed by the laws of the State of North Carolina, without regard to its conflict of law rules. Any dispute arising out of or relating to these terms or this website will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to the personal jurisdiction of those courts.

Before filing any action, both parties agree to attempt in good faith to resolve the dispute through direct discussion for at least thirty days after written notice.

16. Severability and entire agreement

If any provision of these terms is held unenforceable, the remaining provisions stay in full effect. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, are the entire agreement between you and Kingsgate regarding this website. They do not replace or modify any signed purchase agreement or joint venture agreement, which control on their own subject matter.

17. Changes to these terms

We may revise these terms at any time. Revisions take effect when posted, and the effective date at the top will change. Continued use of the website after a revision means you accept it.
